Custom Software Applications, Educational Portals, and Website

1. Introduction
These Terms and Conditions govern the use of services provided by KBG Software, including our Educational Management System (NGEMS), custom web/app development, and related portals for schools, colleges, students, and parents.

2. User Responsibilities
Users agree to provide accurate information, use the portal/app lawfully, and maintain confidentiality of login credentials. Misuse of the platform may result in suspension of services.

3. Payment Terms
(a) Parents and students may pay school fees through our portal/app using integrated payment gateways.
(b) All payments must be made in full and on time. Transaction charges, if any, will be displayed before payment.
(c) Refunds and cancellations are subject to the policies of the respective school/college. KBG Software facilitates payments but is not responsible for refund decisions.
(d) Invoices for custom software/web/app development projects will be raised as per agreed milestones. Ownership of intellectual property transfers only upon full payment.

4. Intellectual Property
(a) The copyright for software material provided by KBG, such as source code, compiled code, design documentation, and program executables, will remain the property of KBG until complete payment has been made.
(b) Upon receipt of full payment, ownership rights transfer to the client.
(c) All trademarks, logos, and content on our website/app remain the property of KBG Software unless otherwise agreed.

5. Termination of Services
(a) Clients wishing to discontinue services must submit a written request.
(b) Clients are responsible for payments due up until the termination date.
(c) Upon termination, access to portals and services will be revoked, and data handling will follow applicable privacy laws.

6. Privacy & Data Protection
KBG Software respects user privacy. Personal information of schools, students, and parents is collected only for service delivery and is protected with appropriate security measures. We do not share personal data with third parties except as required by law.

7. Limitation of Liability
KBG Software is not liable for indirect losses, including but not limited to missed deadlines due to internet outages, misuse of login credentials, or third-party payment gateway failures.

8. Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Assam, India.

Compatibility

KBG will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 6 and to an acceptable level with Mozilla browsers. KBG can offer no guarantees of correct function with all browser software.

Website Hosting

(a) No guarantees can be made as to the availability or interruption of this service, KBG cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.

(b) KBG reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the free or paid hosting service as part of any development should the necessity arise.

Refund Policy

(a) All payments made to KBG Software are for services rendered in software development, consulting, and related IT solutions. Refunds are only applicable in cases where services have not been delivered as agreed, or where development has not commenced after payment.

(b) If a client chooses to cancel a project before development has started, a refund of the advance payment may be issued, subject to deduction of administrative and processing charges. Once development work has commenced, the advance payment is non‑refundable.

(c) In the event of partial delivery or dissatisfaction, KBG Software will make all reasonable efforts to resolve issues. Refunds, if any, will be prorated based on the portion of work not completed, and only after mutual agreement between both parties.

(d) No refunds will be issued for completed and delivered services, digital products, or licenses. All rights and ownership of the product transfer to the client only upon full and final payment.

(e) Refund requests must be submitted in writing to our official email within 7 days of payment. Approved refunds will be processed within 10–15 business days, and credited back to the original payment method.

(f) This refund policy complies with industry standards and payment gateway requirements, ensuring transparency and fairness to both parties.

Disclaimer-KBG does not guarantee the product to be "bug free" at this time, as "bugs" are a normal component of software applications at any phase of development, including when the product is made live or handed over to the client. KBG does guarantee technical support and "bug fixes" will be provided in the event a client experiences a "bug" at any time the client is using a customized software application or website developed by KBG .
